General Terms and Conditions of Sale of the ATEL Website

Article 1 – SCOPE OF APPLICATION

1.1 These general terms and conditions of sale are intended to define the terms of execution as well as the conditions under which sales are concluded between ATEL SARL and its customers.

1..2 Unless expressly agreed otherwise in writing by ATEL to its customers, our sales are always made under the conditions described below, and any order constitutes acceptance of our general terms and conditions of sale by our customers.

1.3 All our products are used under the sole responsibility of the buyers and only the warranty of the products sold may be applied.

Article 2 – DELIVERY

2.1 Delivery Times

Delivery times are provided for informational and indicative purposes only. However, ATEL endeavors to comply with the times indicated on the order acceptance. Any delay in relation to the scheduled delivery times shall not justify cancellation of the accepted order, nor give rise to payment to the customer concerned of penalties, damages or compensation.

2.2 Risks

Delivery is made either by direct handover of the items to the purchaser, or by delivery of the items to a carrier. Direct handover of the items to the purchaser or delivery thereof to a carrier immediately results in transfer of risks to the purchaser. Consequently, goods travel to the agreed place of delivery at the buyer's risk and peril.

2.3 Transport

In the event of damaged goods or missing items, it is the customer's responsibility to make all necessary reservations with the carrier. These reservations must be confirmed by extrajudicial act or by registered letter with acknowledgment of receipt to the carrier within three days following the date of receipt of the goods.

2.4 Receipt

Without prejudice to the steps to be taken by the customer with respect to the carrier as described in Article 2.3 in the event of apparent defects or missing items, any claim of any nature whatsoever concerning the delivered items will only be accepted by ATEL if it is received in writing by registered letter with acknowledgment of receipt within eight days following receipt of the goods. It is the buyer's responsibility to provide all supporting evidence regarding the reality of the defects or missing items noted.

2.5 Right of Withdrawal

In accordance with the provisions of Article L.121-16 of the Consumer Code, the consumer has a period of 7 working days (from the day of receipt of the items) to return, at their own expense, the product(s) that do not suit them. Any return must be reported in advance to ATEL, by telephone at 03 22 41 33 00, or by email at info@atel-attelage.com or dutilloy.francois@wanadoo.fr indicating your contact details, the subject of your claim and the reference of your order. The product(s) must be returned by Registered Parcel Post at the consumer's expense to: ATEL, Rue de la Gare 80160 CONTY - France. Only new products returned in their entirety, in their complete and intact original packaging, accompanied by all accessories, user manuals and documentation will be accepted. Any goods that have been damaged, or whose original packaging has been deteriorated, will neither be refunded nor exchanged.

Article 3 - PRICES AND TECHNICAL INFORMATION

3.1 Prices and technical information; weight, dimensions, etc., appearing on price lists, notices, catalogs, on our website, or any other document are provided for informational purposes only.

3.2 The prices of items sold by ATEL are those in effect on the day of the order. Our catalog prices are net including all taxes ex-works from our workshop located in CONTY, unless expressly agreed otherwise in writing and may vary without prior notice from us. Transport costs are the responsibility of the buyer and will be invoiced in addition to the order price and on the same invoice.

Article 4 - PAYMENT TERMS

4.1 Unless expressly agreed otherwise in writing by ATEL, the balance of payment for ordered items must be made on the day of delivery.

4.2 A deposit of 30% is required upon ordering and the balance upon delivery.

4.3 In the event of late payment, a fixed recovery fee of €40 will be charged.

Article 5 - WARRANTY

5.1 ATEL guarantees all its goods against any manufacturing defect. Defects and deterioration of delivered goods occurring as a result of abnormal use not in accordance with their intended purpose and/or due to natural wear, accident or modification of the product by the buyer, shall not give rise to the warranty owed by ATEL.

5.2 Under the warranty for hidden defects, ATEL shall only be liable for the free replacement of defective goods without the buyer being able to claim damages or bring legal action against the company.

Article 6 – RETENTION OF TITLE

6.1 Goods sold by ATEL shall only become the property of the buyer after full payment of the sums owed by the buyer. Only actual receipt of payment shall constitute payment. ATEL reserves ownership of the items sold until full payment of the entire agreed price including ancillary services and in particular transport costs when they are owed by the buyer.

6.2 Failure to pay all or part of the price at the agreed due date shall result in suspension of deliveries by us and the immediate payment of any other sum remaining due, by reason of this order or other orders delivered or in the process of delivery. All extrajudicial or judicial collection costs are the exclusive responsibility of the buyer.

Article 8 – COMPETENT COURT

8.1 In the event of a dispute, the parties shall attempt to reach an amicable agreement within eight days following the date of occurrence of said dispute.

8.2 In the absence of an amicable agreement, any dispute shall be submitted to the judicial courts.

8.3 If the dispute opposes ATEL to another merchant, the parties expressly agree that the competent court shall be the Commercial Court of AMIENS.

Article 9 - WAIVER

The fact that ATEL does not rely at any given time on any of the clauses herein cannot constitute a waiver to rely subsequently on these same clauses.
